Refund Policy

This Refund Policy applies to subscriptions purchased on https://cutoff.dev for the Cutoff Audio/MIDI framework’s commercial license, managed by Tylium SRL.

1. Subscription Payments

  • Billing: Subscriptions are billed annually via Stripe, tied to your Clerk account, as per the Tylium Evolutive License Framework (TELF) License Agreement (Section 3.1). They grant commercial use rights, support, and updates beyond the GPL-3.0 or AGPL-3.0 open-source option (depending on product).
  • Renewal: Auto-renews unless canceled via the Clerk dashboard.
  • Dual Licensing: Cutoff’s source code is fully available under GPL-3.0 or AGPL-3.0 for free (depending on product). The commercial license adds organization-wide use, support, and freedom from copyleft obligations (see TELF License).

2. Refund Eligibility

  • 14-Day Cancellation:
    • You may cancel within 14 calendar days of payment for a full refund, no questions asked. This starts the day you subscribe (payment confirmation). Upon refund, your commercial license is voided, and you lose all commercial rights to Cutoff versions from that period, even if downloaded. You may still use them under the applicable open-source license (GPL-3.0 or AGPL-3.0, depending on product).
    • Covers EU consumer rights for this subscription service.
  • After 14 Days:
    • No refunds are available after 14 days, except in special cases below. If you cancel, the subscription continues until the end of the current period (e.g., one year), and you retain perpetual commercial rights to use, modify, and deploy versions released and downloaded during that active period (TELF License Section 3.1.3). You lose commercial rights to versions released outside your subscription period, but can use any downloaded version under the applicable open-source license (GPL-3.0 or AGPL-3.0, depending on product). Access to new versions requires renewal.
  • Special Cases:
    • Full refund if we fail to deliver the licensed software (e.g., download unavailable) within 7 days of payment—contact us to resolve.
    • Pro-rata refund if you reject TELF License or SLA amendments (TELF License Section 9.2.3) and terminate, based on the unused term.

3. How to Request a Refund

  • Email legal@tylium.io with your Clerk account email and reason (if applicable). We’ll process refunds within 10 business days via Stripe.

4. Non-Refundable Cases

  • No refunds for:
    • Use of downloaded versions after a normal cancellation (commercial rights remain for that period).
    • Downtime or site issues (see ToS Disclaimer).
    • Changes in your needs after 14 days, even if you haven’t deployed Cutoff yet.

5. EU Consumer Rights

  • Withdrawal Right: EU consumers have 14 days to cancel this subscription for a full refund, starting from payment. After a refund, commercial rights are voided, but you can use Cutoff under the applicable open-source license (GPL-3.0 or AGPL-3.0, depending on product). We’ll inform you of this right at checkout.
  • Extended Period: If we fail to notify you of this right before purchase, the withdrawal period extends to 12 months.
