## Agreement

This Individual Contributor License Agreement ("Agreement") is made between:

Tylium SRL, registered in Belgium with company number BCE/KBO: BE1000798191 ("Licensor")

and

The individual identified as the Contributor below ("Contributor").

## 1. Definitions

"You" (or "Your") means the individual copyright owner who is entering into this Agreement with the Licensor.

"Software" means the computer programs, associated media, documentation, and any updates or modifications provided by Licensor.

"Contribution" means any original work of authorship, including any modifications or additions to an existing work, that You intentionally submit to the Licensor for inclusion in, or documentation of, the Software. For the purposes of this definition, "submit" means any form of electronic, verbal, or written communication sent to the Licensor or its representatives, including but not limited to communication on electronic mailing lists, source code control systems, and issue tracking systems that are managed by, or on behalf of, the Licensor for the purpose of discussing and improving the Software.

## 2. License Grants

### 2.1 Copyright License

Subject to the terms and conditions of this Agreement, You hereby grant to the Licensor and to recipients of software distributed by the Licensor a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable copyright license to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute Your Contributions and such derivative works under:

- a) The GNU General Public License version 3 (GPL-3.0) or the GNU Affero General Public License version 3 (AGPL-3.0), as applicable to the Software
- b) Commercial licensing terms as determined by the Licensor
- c) At the Licensor's discretion, any of the following more permissive licenses:

  - The GNU General Public License version 3 (GPL-3.0) for components initially under AGPL-3.0
  - The Mozilla Public License 2.0 (MPL-2.0)
  - A combination of the MIT License and Apache License 2.0

You acknowledge and agree that the Licensor may exercise these rights independently for different components of the Software at different times, as part of the Licensor's license evolution framework described in the Software License Agreement.

### 2.2 Patent License

Subject to the terms and conditions of this Agreement, You hereby grant to the Licensor and to recipients of software distributed by the Licensor a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable (except as stated in this section) patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer the Software under the licensing terms specified in Section 2.1, where such license applies only to those patent claims licensable by You that are necessarily infringed by Your Contribution(s) alone or by combination of Your Contribution(s) with the Software to which such Contribution(s) was submitted.

This patent license:

- a) Continues through any license evolution as described in Section 2.1
- b) Applies worldwide subject to applicable export controls
- c) Covers all patent claims necessary to implement the Contribution
- d) Includes rights necessary for compliance with all licensing options

If any entity institutes patent litigation against You or any other entity (including a cross-claim or counterclaim in a lawsuit) alleging that Your Contribution, or the Software to which You have contributed, constitutes direct or contributory patent infringement, then any patent licenses granted to that entity under this Agreement for that Contribution or Software shall terminate as of the date such litigation is filed.

## 3. Representations and Warranties

You represent and warrant that:

- a) You are legally entitled to grant the above licenses

- b) Each of Your Contributions is Your original creation

- c) You have the full power and authority to enter into this Agreement and to grant the rights granted hereunder

- d) Your grant of rights under this Agreement does not violate any grant of rights which You have made to third parties

- e) If Your employer(s) has rights to intellectual property that You create that includes Your Contributions, You have received permission to make Contributions on behalf of that employer, that Your employer has waived such rights for Your Contributions to the Licensor, or that Your employer has executed a separate Corporate CLA with the Licensor

- f) You understand and agree that the Licensor is not obligated to include Your Contributions in any version of the Software

## 4. License Evolution Framework

You acknowledge and agree that:

- a) The Licensor may make Your Contributions available under more permissive open source licenses as specified in Section 2.1(c)

- b) This evolution may occur at different times for different components of the Software

- c) Your rights and obligations under this Agreement will survive any such license evolution

- d) The Licensor will maintain documentation of available licenses for all components

- e) Your patent and copyright grants extend to cover all permitted license evolutions

## 5. Support and Evolution

You understand and agree that:

- a) The Licensor is not obligated to include Your Contributions in any version of the Software

- b) Contributions are made on a voluntary basis without guaranteed compensation, though the Licensor may offer discretionary rewards, recognition, or other benefits at its sole discretion

- c) The Licensor may relicense Your Contributions as specified in Section 2.1(c) without additional permission from You

- d) Your rights and obligations under this Agreement will survive any relicensing of the Software

## 6. Submissions on Behalf of Others

Should You wish to submit work that is not Your original creation, You may submit it to the Licensor separately from any Contribution, identifying the complete details of its source and of any license or other restriction (including, but not limited to, related patents, trademarks, and license agreements) of which You are personally aware, and conspicuously marking the work as "Submitted on behalf of a third-party: [named here]".

## 7. Prior Contributions

To manage the transition of the Software to different licensing terms, You also grant the same rights specified in Section 2 to any Contributions You have already submitted to the Licensor prior to the execution date of this Agreement.

## 8. Disclaimer

THE CONTRIBUTION IS PROVIDED "AS IS". MORE PARTICULARLY, ALL EXPRESS OR IMPLIED WARRANTIES INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT ARE EXPRESSLY DISCLAIMED BY YOU TO THE LICENSOR AND BY THE LICENSOR TO YOU. TO THE EXTENT THAT ANY SUCH WARRANTIES CANNOT BE DISCLAIMED, SUCH WARRANTY IS LIMITED IN DURATION TO THE MINIMUM PERIOD PERMITTED BY LAW.

## 9. Dispute Resolution and Governing Law

9.1 This Agreement and any disputes arising out of or in connection with it shall be governed by and construed in accordance with the laws of Belgium.

9.2 The courts of Brussels, Belgium, shall have exclusive jurisdiction to settle any dispute arising out of or in connection with this Agreement (including any dispute regarding its existence, validity, or termination).

9.3 Prior to initiating court proceedings, the parties shall attempt to resolve any dispute through mediation in Brussels, using a mediator appointed by BMEDIATION (the Belgian mediation center). The mediation shall be conducted in English, and the allocation of mediation costs shall be determined by mutual agreement of the parties at the time of mediation.

## 10. General Provisions

10.1 This Agreement sets out the entire agreement between You and the Licensor for Your Contributions to the Licensor and overrides all other agreements or understandings.

10.2 If any provision of this Agreement is found void and unenforceable, such provision will be replaced to the extent possible with a provision that comes closest to the meaning of the original provision and which is enforceable. The terms and conditions set forth in this Agreement shall apply notwithstanding any failure of essential purpose of this Agreement or any limited remedy to the extent possible under law.

10.3 This Agreement may not be modified except by a written agreement signed by authorized representatives of the Parties.
